CURTAIN PURCHASE AND SALE CONTRACT TEMPLATE

This Curtain Purchase and Sale Contract (hereinafter referred to as the "Contract") is made and entered into by and between the Buyer and the Seller, both of whom agree to the following terms and conditions:
1、DEFINITIONS:
(a) "Buyer": the party who purchases the Curtains from the Seller.
(b) "Seller": the party who sells the Curtains to the Buyer.
(c) "Curtains": the window covering product(s) to be purchased by the Buyer from the Seller.
2、PRODUCT DESCRIPTIONS:
The Buyer agrees to purchase from the Seller the following Curtains:
(a) Type: _________ (e.g., Roller, Roman, Pleated, etc.)
(b) Size: _________ (e.g., Width and Height in centimeters or inches)
(c) Color: _________ (e.g., Red, Green, Blue, etc.)

3、PRICE AND PAYMENT:
(a) The price of the Curtains shall be _________ (e.g., $100 per meter). The total cost of the Curtains shall be calculated based on the size and other specifications provided by the Buyer.
(b) The Buyer shall make payment to the Seller in full upon receipt of the Curtains. The Seller shall provide the Buyer with a tax invoice or receipt upon payment.
4、DELIVERY:
(a) The Seller shall deliver the Curtains to the Buyer's specified address within _________ (e.g., 14 days) from the date of payment. The Buyer shall provide the Seller with a valid shipping address and contact information.
(b) The risk of loss or damage to the Curtains shall pass to the Buyer upon delivery. The Buyer shall inspect the Curtains upon receipt to ensure that they are in good condition and meet the specifications agreed upon by both parties.
5、WARRANTIES AND GUARANTEES:
(a) The Seller guarantees that the Curtains are made of high-quality materials and are free from defects in workmanship or design. The Seller further guarantees that the Curtains will be suitable for their intended purpose, namely, to provide privacy and/or decoration in a home or office environment.
(b) In the event that any defect in material or workmanship is found in the Curtains, the Seller shall replace or repair them at no additional cost to the Buyer. The Buyer shall notify the Seller of any such defects within a reasonable time after discovery.
6、CANCELLATION AND REFUND POLICY:
(a) The Buyer has the right to cancel this Contract at any time prior to shipment of the Curtains. In such case, the Buyer shall notify the Seller in writing via email or fax, providing their name, order number, and reason for cancellation. The Seller shall refund the full amount of the order to the Buyer within 14 days of receipt of cancellation notice.
(b) If for any reason the Seller is unable to fulfill its obligations under this Contract, it shall notify the Buyer immediately and provide a full refund of any amounts paid by the Buyer for the Curtains. The Seller shall also offer to replace or repair the Curtains at no additional cost to the Buyer if possible.
7、FORCE MAJEURE:
Neither party shall be liable for any failure to perform its obligations under this Contract due to force majeure events, such as natural disasters, riots, wars, or government actions that render performance impossible or impractical. In such cases, both parties shall seek to resolve any issues related to performance of this Contract in good faith negotiations.
8、GOVERNANCE AND JURISDICTION:
This Contract shall be governed by and interpreted in accordance with the laws of _________ (e.g., USA). Any dispute arising out of or in connection with this Contract shall be subject to exclusive jurisdiction of the courts located in _________ (e.g., New York). Both parties hereby submit to such jurisdiction and waive any objection to proceedings being brought in such courts.
9、SEVERABILITY:
If any provision of this Contract is held invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the validity or enforceability of any other provision of this Contract. The parties shall seek to replace any invalid or unenforceable provision with a valid and enforceable one that most closely approximates the original intent of both parties.
