Title: Curtain Manufacturing Contract
This contract is for the manufacture of curtains. The contractor agrees to provide a specific quantity of curtains in accordance with the specifications and requirements set forth by the customer. In accordance with the principles of honesty and trust, Party A and Party B have agreed to enter into this Curtain Manufacturing Contract. The terms and conditions of this Contract are as follows:
1、Scope of Work: Party A agrees to manufacture and deliver curtains to Party B in accordance with the specific requirements set out in this Contract. The curtains shall be designed and produced in accordance with the attached drawings and specifications.
2、Quantity and Price: The contract price for the curtains shall be as specified in the attached quotation, with a total quantity of _______ pieces. The total contract price is inclusive of all costs related to the manufacture, packaging, and delivery of the curtains to Party B's designated location.
3、Quality Assurance: Party A guarantees the quality of the curtains, ensuring that they are made from high-quality materials and constructed according to industry standards. Party A will conduct rigorous quality control measures to ensure that each curtain meets the specifications set out in this Contract.
4、Delivery Time: Party A agrees to complete the manufacture of the curtains within a reasonable time frame, taking into account the quantity and complexity of the order. Party A will keep Party B informed of the progress of the order and will make every effort to meet the agreed upon delivery date.
5、Payment Terms: Party B agrees to make payment for the curtains in accordance with the terms set out in the attached quotation. The initial deposit shall be paid upon signing of this Contract, with the balance due upon receipt of the curtains at Party B's designated location. Party A shall provide Party B with a tax invoice upon completion of the order.
6、Warranty: Party A warrants that the curtains are free from defects in workmanship or materials for a period of ________ years from the date of delivery. If any such defects are found during this warranty period, Party A agrees to replace or repair the curtains at its own cost.
7、Force Majeure: If either Party is prevented from performing its obligations under this Contract due to force majeure (i.e., natural disaster, act of God, war, riots, etc.), the affected Party shall notify the other Party immediately and shall use reasonable efforts to mitigate the effects of such force majeure on the performance of this Contract.
8、Termination: This Contract may be terminated by either Party for cause, provided that written notice is given to the other Party prior to termination. In the event of termination, all rights and obligations of both Parties shall cease immediately, except for those obligations which have already been fulfilled or which by their nature are intended to survive termination.
9、Dispute Resolution: Any disputes arising out of or in connection with this Contract shall be resolved through friendly negotiation between the two Parties. If negotiation fails to resolve the dispute, either Party may submit it to arbitration in accordance with the laws of ________ (the arbitration location). The arbitration award shall be final and binding on both Parties.
10、Miscellaneous: This Contract constitutes the entire agreement between the two Parties with respect to the manufacture and delivery of the curtains. No modifications or amendments to this Contract shall be effective unless agreed upon in writing by both Parties.
