Carpet Cleaning Contract

This contract is for the cleaning of carpets. The contractor agrees to clean the carpets in the specified locations on a regular basis, using effective and safe cleaning methods. The customer agrees to pay the contractor for the services rendered, in accordance with the agreed-upon payment schedule. Both parties agree to adhere to the terms and conditions of this contract, and any violation of the contract will be subject to legal action.

This contract is made and entered into by and between the following parties:

The Company, in consideration of the mutual promises and agreements herein contained, shall provide carpet cleaning services to the Client, and the Client shall pay the Company for such services.

The Agreement:

1、Services: The Company shall clean the Carpets, as defined below, in accordance with the terms and conditions of this Agreement. The Client shall pay the Company for such services.

2、Definitions:

Carpets: The term "Carpets" shall mean all carpets, rugs, and other floor coverings located at the Client's premises, whether fixed or movable, and including any padding or other material used in connection therewith.

3、Cleaning Process: The Company shall use its best efforts to clean the Carpets in a workmanlike manner, and to restore them to as nearly their original condition as is reasonably possible. The Company shall take reasonable precautions to prevent damage to the Carpets, but shall not be responsible for any damage caused by wear and tear, staining, or soiling not caused by the negligence of the Company.

4、Payment: The Client shall pay the Company the sum of $________ for each square foot of Carpet cleaned, payable in advance. The Company shall submit an invoice to the Client at the end of each month, which invoice shall be due and payable within thirty (30) days of receipt.

5、Term: This Agreement shall be effective for a term of one (1) year from the date of execution, and shall be automatically renewed for successive one (1) year terms unless either party gives written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.

6、Termination: This Agreement may be terminated by either party at any time, without penalty, upon written notice to the other party. However, if either party terminates this Agreement in breach of any of its terms or conditions, the non-breaching party may seek all available legal remedies.

7、Warranty: The Company warrants that it will perform the cleaning services in accordance with all applicable laws and regulations, and that it has all necessary licenses and qualifications to perform such services. The Client represents that it has full authority to enter into this Agreement and to permit the Company to perform the cleaning services.

8、Indemnification: The Client shall indemnify and hold harmless the Company from any and all claims, suits, judgments, costs, expenses, and liabilities arising out of or in connection with the performance of the cleaning services under this Agreement, except for those claims arising out of the negligence of the Company.

9、Miscellaneous: This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof, and no promises, representations, or warranties other than those expressly set forth herein shall be binding on either party. This Agreement may not be modified or amended except in writing signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of the State of ____________. Any controversy or claim arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the commercial arbitration rules of the American Arbitration Association then in effect, conducted in the English language, and held in ____________, Ohio. The award rendered by the arbitrator shall be final and binding on both parties, and judgment may be entered upon it in any court having jurisdiction.
